Terms of Service

You must be at least 16 years old and legally able to agree to these Terms.

You are responsible for:

• maintaining the confidentiality of your account credentials
• activity performed through your account
• providing accurate account information where required

If you use ReceWise on behalf of a business or organization, you represent that you have authority to accept these Terms on its behalf.

ReceWise helps you organize receipts and purchase information, review your purchase history, understand how prices change over time, and compare available pricing information.

ReceWise may use automated systems, including artificial intelligence, to extract and organize information from receipts you upload.

Some features may also use information supplied by third-party retailer, product, search, or location services.

Features may change as ReceWise develops.

You retain ownership of receipts, purchase information, and other content you submit to ReceWise.

You give Syncchat LLC a limited, non-exclusive license to store, copy, transmit, process, and otherwise use your content only as reasonably necessary to:

• provide ReceWise
• process uploaded receipts
• maintain your purchase history
• provide product and price comparisons
• secure and maintain the service
• perform related functionality you request

This license continues only as reasonably necessary to operate the service, subject to our Privacy Policy, applicable law, and limited backup or security retention.

You represent that you have the right to upload the content you submit.

You must not knowingly upload:

• unlawful content
• malicious files or software
• content intended to interfere with the service
• another person's personal information when you do not have the right to provide it

ReceWise provides automated extraction, purchase insights, and pricing information for informational purposes.

Results may be incomplete, delayed, inaccurate, or unavailable.

In particular:

• Receipt extraction may incorrectly identify products, quantities, categories, dates, prices, or totals.
• You should review extracted information before relying on or saving it.
• Retail prices, availability, locations, and product matches can change and may differ from what is shown in ReceWise.
• "Cheaper nearby," savings estimates, price histories, and similar features are informational comparisons and do not guarantee that a product will be available at a particular store or price.
• Third-party pricing may represent online, regional, estimated, or recently observed information rather than a guaranteed in-store shelf price.

ReceWise is not accounting, tax, financial, investment, legal, or professional advice.

You should verify important information using the original receipt, retailer, or another appropriate source before relying on it for financial, tax, reimbursement, legal, or business decisions.

You may not:

• attempt to gain unauthorized access to ReceWise or another user's data
• bypass rate limits, usage limits, security controls, or access restrictions
• scrape, systematically extract, resell, or redistribute data obtained through ReceWise except where expressly permitted
• use automated systems to submit abusive or excessive quantities of receipts or requests
• interfere with or disrupt ReceWise or its infrastructure
• upload malware or malicious code
• use ReceWise for unlawful, fraudulent, or abusive activity
• reverse engineer or attempt to obtain protected source code except where applicable law expressly permits it

We may apply reasonable usage limits to protect the service, its users, and third-party service costs.

ReceWise relies on third-party services that may provide infrastructure, artificial intelligence, product information, retailer pricing, search results, location information, or other functionality.

We do not control third-party services and cannot guarantee:

• their availability
• the completeness or accuracy of their information
• retailer inventory
• retailer pricing
• store hours or locations
• continued access to a particular third-party integration

The appearance of a retailer, merchant, product, or offer in ReceWise does not mean Syncchat LLC endorses it.

Any purchase or transaction you make with a third party is between you and that third party.

Our Privacy Policy provides additional information about how service providers may handle information in connection with ReceWise.

We may establish reasonable limits on features such as:

• receipt scans
• automated processing
• live price searches
• storage
• other resource-intensive functionality

We may add, modify, suspend, or discontinue features as ReceWise evolves.

We aim to provide a reliable service but do not guarantee uninterrupted, secure, or error-free availability.

If ReceWise introduces paid subscriptions or other charges, applicable pricing and terms will be presented before you are charged.

You may stop using ReceWise at any time.

Where available, you may initiate deletion of your account and associated purchase information through Settings.

Deletion and retention are governed by our Privacy Policy and may be subject to limited legal, security, fraud-prevention, or backup-retention requirements.

We may suspend or terminate access if:

• you materially violate these Terms
• your use creates security or abuse risks
• you attempt to circumvent usage controls
• we are required to do so by law
• continued access would materially threaten the operation of the service

Where reasonably appropriate, we may provide notice before suspension or termination.

ReceWise, including its software, design, branding, interfaces, and other content provided by Syncchat LLC, is owned by or licensed to Syncchat LLC and is protected by applicable intellectual-property laws.

These Terms do not transfer ownership of ReceWise or its underlying technology to you.

You may use ReceWise only as permitted by these Terms.

To the maximum extent permitted by applicable law, ReceWise is provided “as is” and “as available.”

Syncchat LLC disclaims warranties that may otherwise apply, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability.

We do not warrant that:

• automated extraction will always be correct
• retailer or pricing information will always be current
• every product will be identified or matched
• savings opportunities will always be available
• the service will operate without interruptions or errors

Some jurisdictions do not allow certain warranty exclusions, so some of these limitations may not apply to you.

To the maximum extent permitted by applicable law, Syncchat LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to ReceWise.

This includes, where legally permitted, losses arising from:

• inaccurate receipt extraction
• inaccurate or unavailable retailer pricing
• missed savings opportunities
• reliance on purchase or pricing information
• service interruptions
• loss of data

To the maximum extent permitted by law, Syncchat LLC's aggregate liability for claims arising from or relating to ReceWise will not exceed the greater of:

• the amount you paid ReceWise during the 12 months immediately preceding the event giving rise to the claim; or
• USD $50.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

To the extent permitted by applicable law, you agree to indemnify and hold Syncchat LLC harmless from third-party claims, losses, liabilities, and reasonable costs arising from:

• content you unlawfully upload
• your material violation of these Terms
• your unlawful or abusive use of ReceWise
• your infringement of another person's rights

This section does not apply where prohibited by applicable consumer law.

These Terms are governed by the laws of the State of Minnesota, United States, without regard to its conflict-of-law rules, except where applicable law requires otherwise.

Before filing a formal dispute, you and Syncchat LLC agree to make a reasonable effort to resolve the matter informally.

Unless applicable law requires another forum, disputes may be brought in courts of competent jurisdiction in the State of Minnesota, United States.

Nothing in these Terms removes consumer rights or remedies that cannot legally be waived.

We may update these Terms as ReceWise changes.

When we make changes, we will update the “Last updated” date above. Where appropriate, we may also provide notice of material changes through the service.

Your continued use of ReceWise after updated Terms become effective constitutes acceptance where permitted by applicable law.
